These Master Terms & Conditions (the “Terms”) apply to all purchases and engagements with Contemporary Bedouin, including advisory calls, brand strategy, curation and creative direction, speaking & moderation, mentorship, workshops, digital downloads, physical artworks, commissions, and any other services or products (collectively, the “Services” and “Works”). Individual proposals or order forms may supplement these Terms. In case of conflict, the signed proposal prevails over these Terms.
1) Definitions
Client: The person or organization purchasing Services or Works.
Works: Any physical or digital outputs including strategy documents, reports, designs, photographs, films, audio works, writings, visual art, installations, performances, scripts, moodboards, storyboards, presentations, and all drafts.
Commissioned Work: Any artwork or creative output produced specifically for Client under a commission agreement.
Confidential Information: Any non‑public information disclosed by either party.
Milestones: Phased deliverables and payment checkpoints.
Business Days: UAE working days (Mon–Fri or as legally applicable).
2) Scope & Acceptance
By clicking “I agree,” placing an order, paying an invoice, or approving a proposal, Client accepts these Terms. The Services include strategic consulting, creative direction, curation, cultural brand development, speaking & moderation, mentorship, workshops, sale of artworks (physical or digital), and commissions. Any additional work outside the agreed Scope requires a written change order and may affect fees and timeline.
3) Booking & Intake
Advisory/Calls: Bookings are confirmed upon payment. Client must complete the intake prompts at checkout.
Projects/Brand/Exhibition Work: Commence only after (a) signed proposal or email acceptance, (b) payment of the initial invoice/deposit, and (c) receipt of required materials.
Speaking/Moderation: Dates are held only after deposit; final confirmation occurs upon receipt of the balance and agreed brief.
Mentorship: May be application‑based. Acceptance is at the Artist’s discretion. Scholarships/sliding‑scale may be offered; separate addendum may apply.
Client Responsibilities: Provide timely information, decision‑makers’ availability, content/brand assets, and approvals. Delays or missing inputs pause the timeline and may trigger rescheduling or additional fees.
4) Fees, Taxes & Expenses
Prices & Currency: Prices are listed in USD unless otherwise stated. Quotes exclude bank/processor fees, third‑party costs, shipping, customs duties, and local taxes.
VAT: UAE VAT will be charged when applicable. Client is responsible for currency conversion/transfer charges.
Deposits: Unless stated otherwise, advisory calls are paid 100% upfront; speaking engagements require a 50% non‑refundable deposit with the balance due 5 Business Days before the event; project/commission deposits are non‑refundable and applied against the final fee.
Out‑of‑pocket Expenses: Travel, accommodation, per diem, couriers, equipment rental, venue/installation costs, fabrication/printing, licensing, and third‑party suppliers are billed at cost + 10% handling unless otherwise agreed.
Late Payment: Overdue amounts accrue the higher of 1.5% per month or the maximum permitted by law; delivery/licenses may be suspended until payment clears.
5) Cancellations, Rescheduling & Refunds
General rule: Booking fees and deposits secure schedule and are non‑refundable once work has begun or the date is held. The following category policies apply unless a proposal states otherwise:
A) Advisory & Strategy Calls (60–75 minutes)
Reschedule: Once, with ≥48 hours’ notice, at no extra charge; otherwise forfeited.
Cancellation: ≥48 hours’ notice: refund minus payment processor fees; <48 hours or no‑show: non‑refundable.
B) Creative/Curatorial Deep Dives (2–4 hours)
Reschedule: ≥5 Business Days’ notice.
Cancellation: ≥7 Business Days: 50% refund; <7 Business Days: non‑refundable.
Follow‑ups: Includes a post‑session memo; extra work billed at agreed rates.
C) Cultural Brand Alchemy / Project Engagements
Deposits: Non‑refundable.
Milestone Payments: Due on delivery of each milestone regardless of Client’s internal approvals.
Client Cancellation: Fees for completed phases + a kill fee of 20% of remaining contract value to cover scheduling/opportunity cost.
Provider Cancellation: If Artist must cancel for reasons beyond control, fees for undelivered work are refunded; parties will attempt to reschedule in good faith.
D) Speaking, Moderation & Workshops
Deposit: 50% on booking (non‑refundable once the date is locked).
Balance: Due 5 Business Days before the event.
Reschedule: One reschedule with ≥10 days’ notice, subject to availability.
Cancellation by Client: >14 days: 50% refund of paid amounts (excl. deposit); ≤14 days: non‑refundable.
Recording: Not permitted without prior written permission and separate license.
E) Digital Products (downloads, templates, tickets)
All sales final upon access/delivery due to the nature of digital goods.
F) Physical Artworks (ready‑made / editions)
Final sale once shipped/delivered except in the case of damage or manufacturing defect. Client must notify within 48 hours with photos/video of the packaging and work. Remedies may include repair, replacement, or refund, consistent with applicable UAE consumer protections.
Natural variations in handmade or limited‑edition works are inherent and not defects.
6) Shipping, Risk & Installation
Risk of loss passes to Client upon delivery to the carrier for international shipments and upon handover for local deliveries.
Customs/Duties: Client is responsible for import duties, VAT in destination country, and customs clearance.
Installation: Site readiness, permits, structural safety, and insurance are the Client’s responsibility unless explicitly contracted.
7) Intellectual Property & Usage
Ownership of Background IP: All pre‑existing methods, research, frameworks, stories, characters, designs, images, audio, software, and other materials remain the exclusive property of Contemporary Bedouin.
Project Deliverables: Unless otherwise agreed in writing and paid in full, Contemporary Bedouin grants Client a non‑exclusive, non‑transferable, worldwide license to use final deliverables internally for their stated purpose. Commercial use, broadcast, resale, sublicensing, or derivative works require a separate license.
Pitch Materials & Unused Concepts: Remain owned by Contemporary Bedouin.
Artist’s Moral Rights: The Artist retains authorship and the right to be credited and to protect the integrity of the work.
Recordings: Recording or distribution of talks, workshops, or sessions is prohibited without written consent and a separate license stating scope, territory, and term.
Portfolio Use: Unless confidentiality is agreed in writing, Contemporary Bedouin may reference non‑confidential project aspects in portfolios and case studies (identities may be anonymized upon request).
8) Commissioned Artworks & Bespoke Works
Brief & Concept: Commission begins after (a) written brief, (b) accepted proposal, (c) deposit.
Timeline: Shared after brief; Client delays extend timeline.
Revisions: Unless stated otherwise, includes one concept round and one minor revision; additional changes are billed hourly/day‑rate.
Approvals: Written approvals are binding. Post‑approval changes are out of scope.
Fabrication: Artist may use subcontractors/fabricators; warranties are limited to those of the fabricator.
Ownership & Rights: Physical ownership transfers upon full payment and delivery. Copyright remains with the Artist unless a specific IP transfer/license is executed.
Public Display & Loans: The Artist may exhibit, document, or reproduce the work for non‑commercial portfolio, academic, or archival purposes.
Conservation: Client is responsible for proper handling/environmental conditions. Conservation instructions will be provided for complex works.
Installation & Site Risks: Client must ensure structural/load‑bearing capacity, fire safety, and insurance. Damages caused by site conditions are Client’s responsibility.
9) Confidentiality & Data Protection
Confidentiality: Each party will keep the other’s Confidential Information private and use it solely for the engagement.
NDAs: Either party may request a mutual NDA prior to disclosure.
Personal Data: To the extent personal data is processed, Contemporary Bedouin will implement reasonable security measures and handle data consistent with applicable UAE data‑protection requirements. Client is responsible for ensuring it has a lawful basis to share personal data and for notifying individuals as required.
10) Warranties & Disclaimers
Services are provided with reasonable skill and care according to industry practice.
No legal, accounting, medical or investment advice is provided. Client remains solely responsible for decisions and outcomes.
Except where not permitted by law, all implied warranties are disclaimed.
11) Liability & Indemnity
To the maximum extent permitted by law, Contemporary Bedouin’s aggregate liability is limited to the fees actually paid for the specific Service giving rise to the claim in the 6 months preceding the claim.
Neither party is liable for indirect, incidental, or consequential losses (loss of profits, business interruption, data loss, or reputation).
Client will indemnify and hold harmless Contemporary Bedouin against claims arising from (a) Client content/materials; (b) misuse of Works; (c) unsafe sites or installations.
12) Force Majeure
Neither party is liable for failure or delay due to events beyond reasonable control (e.g., illness, epidemic, extreme weather, acts of government, conflict, strikes, transport failures). Timelines will be adjusted; non‑delivered portions may be refunded where appropriate.
13) Dispute Resolution
Good‑faith Resolution: Parties will first attempt to resolve any dispute via senior‑level discussion within 14 days.
Mediation (optional): If unresolved, parties may attempt confidential mediation in Abu Dhabi or Dubai.
Arbitration or Courts: Thereafter, disputes may be submitted to arbitrateAD (Abu Dhabi International Arbitration Centre) under its rules, seat in Abu Dhabi, language English, or to the UAE Courts in Abu Dhabi. Costs follow the event unless the tribunal decides otherwise.
14) Speaking, Moderation & Workshops — Special Terms
Topic must align with expertise areas agreed in the brief.
Organizers must provide technical checks, stage management, and final run‑of‑show 5 Business Days prior.
Recording/streaming requires a separate content license; raw footage may not be repurposed without consent.
Travel (business‑class on flights >4 hours), hotel (min. 4‑star), local transport, and per diem are covered by the organizer unless stated otherwise.
Event usage of name/image is limited to promoting the specific event.
15) Mentorship — Special Terms
Selection is at Contemporary Bedouin’s discretion via application.
Mentorship is a personal guidance relationship and not a guaranteed pathway to employment, grants, or representation.
Pro bono or reduced‑fee mentorships may be offered; terms will be confirmed in writing.
Confidentiality applies; mentees retain rights to their work; advice remains non‑transferable.
16) Updates to Terms
Contemporary Bedouin may update these Terms from time to time. The version in force at the time of purchase/contracting applies. Material changes will be posted on the website.
17) Miscellaneous
Entire agreement; severability; no waiver; no assignment without consent (except to successors); notices via email; survival of payment, IP, confidentiality, and liability clauses.
Acceptance
By ticking the checkbox, paying, or signing a proposal, Client confirms that they have read, understood, and agree to these Terms.
